## Legal notice and risk disclosure
HermesBot legal notice: we build custom trading software, are not a broker or adviser and never hold client funds. Risk warning, plans and personal data.

## Summary
In short: HermesBot is a software developer, not a broker or investment adviser; it never receives or manages client funds; trading carries a risk of loss, and simulated results do not predict real ones. This notice also covers the terms of the service plans and of the bots delivered.

This Legal Notice sets out the terms on which you may access and use hermesedge.io (the “Site”) and the general terms that apply to the software development services HermesBot provides and the software it builds for clients (the “Services”). Please read it carefully. Project-specific terms—scope, pricing, timelines, support and code ownership—are set out in a separate written agreement for each project.

### 1. Nature of the Services
HermesBot provides software development services only: it designs, codes and automates trading strategies based on rules defined by the client. HermesBot is not a broker, dealer, bank, portfolio manager or investment adviser, and it does not provide brokerage, investment advisory or asset management services.
HermesBot acts as an independent technology provider. Neither your use of the Site nor your engagement of the Services creates a fiduciary, agency or advisory relationship. Any review of a strategy by HermesBot is purely technical—whether it can be automated and what integration it requires—and is not an opinion on its merits, profitability or suitability for you.

### 2. No custody of funds
HermesBot does not manage funds, does not receive or hold client money or assets, and does not trade or make investment decisions on anyone’s behalf. Your capital stays at all times in the account you opened in your own name with the broker of your choice, under your sole control.

### 3. Eligibility
The Site and the Services are intended only for individuals who are at least 18 years old (or the age of majority in their jurisdiction, if higher) and have full legal capacity to enter into contracts, and for duly represented legal entities. The Services are not offered in any jurisdiction where providing them, or using automated trading software, is prohibited.

### 4. Risk warning
Trading financial markets—including, without limitation, foreign exchange (forex), CFDs, crypto assets, futures, options and stocks—involves substantial risk and is not suitable for everyone. Leveraged products such as CFDs and futures can lead to rapid losses and, depending on the instrument and broker, losses greater than your initial deposit. Only trade with risk capital: money you can afford to lose without jeopardizing your financial security or lifestyle.
Automation does not eliminate risk and can, in some cases, amplify it. A bot executes rules mechanically; if the market does not favor the strategy, the software cannot create profits, and losses can build up faster than in manual trading.

### 5. Hypothetical and simulated performance
Backtests, paper trading, simulations and any other hypothetical results that HermesBot prepares or shares—during a project or otherwise—have inherent limitations. Unlike an actual performance record, they do not represent actual trading, and because the trades were not actually executed, they may under- or over-compensate for the impact of market factors such as lack of liquidity, slippage, fees, commissions or latency. Hypothetical results are also generally prepared with the benefit of hindsight and involve no financial risk, so they cannot account for factors such as the ability to withstand losses or to stick with a strategy through them, which can materially affect actual results.
There are frequently sharp differences between hypothetical results and the results subsequently achieved in live trading. No representation is made that any account will or is likely to achieve profits or losses similar to those shown. Past performance, whether actual or simulated, is not indicative of future results.

### 6. Examples and testimonials
Any examples, case studies, screenshots, client reviews or testimonials published on the Site or shared elsewhere are for illustrative purposes only. They reflect individual experiences, are not typical, and should not be read as a promise or indication of the results any other client will achieve.

### 7. Your responsibilities: specification, testing and acceptance
You are solely responsible for the strategy, rules and parameters you define in the brief, and for confirming that the software behaves as you expect before using it with real money. Before going live, you should review and test the software in paper trading or on a demo account and, where appropriate, start with small position sizes. The decision to run the bot on a live account—with how much capital and which settings—is yours alone and, subject to the project agreement, constitutes acceptance of the software as delivered.
Bots run on your own brokerage account. You are solely responsible for their use, configuration, activation, supervision and deactivation, for the capital you choose to put at risk, and for all results, whether profits or losses.

### 8. Monitoring, risk controls and security
No automated system should run unattended. You agree to monitor the bot and your account regularly; to keep appropriate risk limits in place (for example, stop-losses, maximum position sizes or a maximum daily loss), along with any controls your broker offers; to retain at all times the ability to stop the bot and close positions manually (a kill switch); and to safeguard your credentials, API keys, devices and servers, granting the software only the permissions it strictly needs. Where the integration allows it, we recommend never enabling withdrawal permissions on the API keys the bot uses.

### 9. Software provided “as is”
HermesBot commits to delivering software that implements the logic agreed in writing in the brief and to providing the support agreed for each project. Beyond those commitments and anything expressly stated in the project agreement, and to the fullest extent permitted by law, the software and the Site are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. In particular, HermesBot does not warrant that the software will be error-free or operate without interruption, or that it will remain compatible with future changes to brokers, platforms, APIs, markets or regulations.

### 10. Third-party software and services
Projects may incorporate open-source software—such as vn.py / VeighNa, released under the MIT License—and rely on APIs, gateways, trading platforms, data feeds, hosting and other third-party services. These components are governed by their own licenses and terms, are provided by their authors without warranty, and are outside HermesBot’s control. You are responsible for complying with the terms of any third-party service you use, including your broker’s.

### 11. Limitation of liability
To the fullest extent permitted by applicable law, HermesBot and its team members and contractors shall not be liable for any loss of capital or trading losses, lost profits, lost opportunities or loss of data, or for any direct, indirect, incidental, special or consequential damages arising out of the use of, or inability to use, the Site or the software, including without limitation damages caused by:
- decisions, failures, suspensions or insolvency of, or changes in terms by, the broker or trading platform;
- outages, interruptions or changes affecting platforms, APIs, gateways or servers;
- slippage, requotes, price gaps, lack of liquidity or extreme volatility;
- connectivity, internet, hardware, hosting, VPS or power failures;
- errors or delays in market data or in third-party software or services;
- unauthorized access to, or cyberattacks on, your accounts, credentials or devices;
- trading halts or measures taken by exchanges, markets or authorities;
- configuration errors, misuse, or modifications to the software made by you or by third parties.
In any event, HermesBot’s total aggregate liability to a client for all claims relating to a project shall not exceed the fees actually paid by that client to HermesBot for that project. These limitations do not apply in cases of fraud, willful misconduct or gross negligence, and they do not affect any rights you may have that cannot be waived under applicable law, including consumer protection laws where they apply.

### 12. Indemnification
You agree to indemnify and hold harmless HermesBot and its team members and contractors from and against any claims, damages, losses, costs and expenses (including reasonable attorneys’ fees) arising out of your use of the software; your breach of this Legal Notice, applicable law or your broker’s terms; or any claim that the strategy or materials you provide infringe the rights of a third party.

### 13. Force majeure
HermesBot shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, epidemics, war or civil unrest, government action, widespread power or telecommunications outages, failures of infrastructure providers, or cyberattacks.

### 14. Regulatory compliance
You are responsible for confirming that the use of automated trading software is lawful where you live and for complying with all applicable laws and regulations, including tax obligations, as well as with your broker’s terms and conditions, including any rules on automated or algorithmic trading.

### 15. No offer or advice
Content on this Site is provided for general information only. Nothing on it constitutes an offer, a solicitation, an investment recommendation, or financial, legal or tax advice. Consult a licensed professional before making any investment decision.

### 16. Strategies and standard templates
The standard strategies offered in the strategy form are starting templates with example values, published solely for illustration and to save time. They are not financial advice or an investment recommendation, nor an offer to trade any particular instrument, market or strategy, and they are not tailored to the situation, goals or risk tolerance of any specific person.
No results are guaranteed: past performance, whether live or simulated, is not indicative of future results, and trading carries a substantial risk of loss, including the loss of all your capital. Choosing a template, deciding whether to modify it and giving final approval are always the client’s own decisions, and the client confirms having read, understood and approved it before submitting it.
HermesBot and iMatch Games accept no responsibility for the performance, results or losses that may arise from trading a strategy based on a standard template, whether or not the client has modified it. Each client trades their own capital in their own account, and every strategy should be validated on a demo account before it is used with real money.

### 17. Plans, validity and renewal
HermesBot offers service plans (for example Scout, Quant and Whale), a custom plan and single bots paid once. Each plan sets a bot allowance, a number of trading accounts and a validity period, which are described on the pricing page and confirmed with each client at the time of purchase. Prices are stated in US dollars (USD).
A plan’s validity is the period during which the client has the purchased allowance. When it ends, the plan does not renew automatically: renewal or a change of plan is agreed with HermesBot and may involve a new price. Bots already delivered are the client’s software as described in the intellectual property section. Bots delivered with an expiring license (a fixed date inside the file, or online verification) stop opening new trades when their license expiry date is reached, until it is renewed; positions that are already open keep being managed by their exit rules and are not closed for that reason, unless the parties expressly agree otherwise in writing. Single-payment bots have no expiry and no license check.
Plans do not include broker, platform or third-party server costs, and they are not a promise of results or profits. Commercial terms (prices, allowances, accounts, validity periods and benefits) may change over time; changes do not affect what has already been purchased during its validity period unless the parties agree otherwise.

### 18. Intellectual property
The HermesBot name and logo and the text, design, graphics, code and other content of the Site belong to HermesBot or its licensors and are protected by intellectual property laws. They may not be reproduced, distributed or modified for commercial purposes without prior written permission. Ownership of, and access to, the code developed in each project are governed by the relevant project agreement.

### 19. Personal data
Information submitted through the contact form (name, email address, optional WhatsApp number, market, broker, stage and strategy description) is used solely to assess and respond to your inquiry. It is delivered by email through technology providers—the Site is hosted on Vercel and messages are sent via the Resend email service—which may process it outside Argentina. HermesBot does not sell or rent this information to third parties.
Under Argentina’s Personal Data Protection Law No. 25,326, and without prejudice to any other rights you may have under applicable law, you may request access to, correction, updating or deletion of your data by writing to hermesbot@hermesedge.io. You may exercise your right of access free of charge at intervals of no less than six months, unless a legitimate interest is shown (Section 14(3) of Law No. 25,326). Argentina’s Agency for Access to Public Information (AAIP), as the supervisory authority under Law No. 25,326, handles complaints from anyone whose data protection rights have been infringed.
We also keep an anonymous record of how far visitors get in the strategy form (which step and field they stop at, how long it takes, where errors happen) so we can improve it — never your name, contact details or what you write in your answers (only whether you chose a custom strategy or a standard template, and which one).

### 20. Changes to this Notice
HermesBot may update this Legal Notice at any time. The version in force is the one published on this page, with its “last updated” date. Changes do not alter the terms of projects already contracted, which are governed by their own agreements.

### 21. Severability
If any provision of this Legal Notice is held invalid or unenforceable, it will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

### 22. Governing law and jurisdiction
This Legal Notice is governed by the laws of the Argentine Republic. Any dispute shall be submitted to the ordinary courts sitting in the City of Buenos Aires, Argentina, and the parties waive any other venue or jurisdiction, except where mandatory law—particularly consumer protection law—provides otherwise.

### 23. Acceptance
By using the Site, or by engaging or using software developed by HermesBot, you confirm that you have read and accept this Legal Notice. If you do not agree, please do not use the Site or the software.
